GENERAL SALES CONDITIONS


1. PAYMENT CONDITION: - 40% Advance via TT, immediately - 60% by TT or by Irrevocable and confirmed and transferable LC (In case of LC, an additional charge of 3% will be applied.) 2. PACKAGING: Stretch Film package or wooden box, depending on what is considered most suitable from the manufacturer.


3. SHIPPING: By sea. The timing for shipment from the supplier's plant depends on the type of machine being purchased.


4. INSTALLATION: Only by factory-trained technicians, with supervision. Hotel and restaurant are at the buyer cost. Unloading the machine from the container and bringing it into the buyer's plant will be the responsibility of the buyer. In the event that our technician must return after 10 days for any reason not attributable to the supplier, the Purchaser shall bear the costs of any additional round-trip air fares, hotel accommodations, meals, local transportation and medical expenses for replacement technicians, in addition to reimbursing out-ofpocket expenses at Euro 150 per day per technician, including travel time and intermediate holidays.


5. INSURANCE: Included for 110% of the CIF value.


6. WARRANTY: Guaranteed for a period of 15 months from the date of shipment F.O.B. (factory) or 12 months from the date of assembly of the products at the Buyer's site, whichever is the earlier, all products and their parts, if properly installed, adjusted, used and maintained according to our proposal and/or the applicable technical manuals. However, rubber, plastic and electrical equipment and other parts/components subject to normal wear and tear shall not be included. The seller will replace ex works or, at its discretion, repair, excluding installation, any defective material or workmanship, provided that we have been given written notice of the above defects. Unless caused by us, equipment damaged by overloading, exposure to corrosive or abrasive substances, abnormal moisture or other misuse, neglect or accident shall not be subject to the above warranty. The warranty does not apply to any equipment that has been improperly installed, adjusted, operated, maintained, repaired or altered by unauthorized persons. We reserve the right to inspect any claimed defect before replacement. Any provision of technical help/assistance/engineers for the actual replacement of parts or any services rendered in connection with any defects, including during the warranty period, shall only take place under the conditions contained in clause 4. With regard to auxiliary/purchased equipment, we shall in each specific case provide the Purchaser with the same warranty as the supplier has received from its suppliers of auxiliary equipment. It is expressly understood that in the event of defective product, parts thereof or ancillary equipment, the supplier shall not be liable for loss of profits or for indirect or consequential damages or failure of the equipment to comply with federal, state or local laws/regulations, etc. Any local mechanic or electrician tampers with the Products without the written permission of the supplier and/or the purchaser moves the Products from the original installation location and/or the purchaser changes the original installation location.


7. SPARES AND PARTS STARTER PARTS FREE: The supplier will supply all required starting parts and recommended standard spare parts (mechanical / electrical / electronic items) together with the equipment.


8. AFTER SALE SERVICE: The supplier guarantees prompt 'after-sales service' at the purchaser's request, at its own expense, under the following terms: After-sales service will be provided by factory-trained technicians. The purchaser shall bear the costs of round-trip airline tickets, hotel accommodation, food, local transportation and medical expenses for the appointed technicians and reimburse out-of-pocket expenses at Euro 150 per day per technician, including travel time and intermediate holidays.


9. VISA: It is an express condition of this contract that the arrangement of the visa is entirely the responsibility of the seller.


10. MAJOR FORCE: We shall not be liable for any delays in delivery or non-delivery of our products due to force majeure, such as acts of God, wars, riots, civil disturbances, acts of authority, strikes, lockouts or other labour difficulties or any other circumstances beyond our control that may affect us or our suppliers and hinder, prevent or impede deliveries. Notice of force majeure shall be sent by us to the customer in writing.


11. ARBITRATION: Any dispute or difference of any kind arising between the parties in connection with the construction, meaning, operation or effect of this agreement or the breach thereof shall be settled by arbitration in accordance with the Arbitration Rules of the Bulgarian Arbitration Council and the award rendered thereunder shall be binding on the parties. Judgment on any award rendered may be entered in any court of competent jurisdiction or an application may be made to such court for judicial acceptance of the award or an order for its enforcement, as the case may be. The proceedings shall take place and the award shall be rendered in Sofia, Bulgaria.
